Why I Don’t Sign NDAs or Exclusive Broker Agreements Upfront — And Why Brokers Still Choose to Work With Me
✍🏽 By Jai Thompson
I manage a private equity platform deploying millions per quarter across multiple real estate asset classes.
We operate with one focus:
certainty, speed, and clean execution.
Because of that, one of the most common questions I get from brokers is:
“Why don’t you sign NDAs or exclusive buyer agreements upfront?”
The answer is simple.
🔍 It’s Not About Avoiding — It’s About Alignment
I don’t avoid agreements.
I avoid misalignment.
An exclusive agreement locks a buyer into one lane before the deal even makes sense.
But I operate across:
multifamily
luxury estates
hospitality
portfolios
off-market opportunities
That requires flexibility.
⚖️ Why I Don’t Sign Exclusive Agreements Upfront
I move across multiple brokers at once
Deals don’t come from one source. They come from relationships.
I underwrite first, commit second
I don’t lock into representation before I understand the asset.
I protect deal flow velocity
Exclusivity slows down execution. I operate at speed.
I structure differently than most buyers
My model is asset-based, not bank-dependent. That requires freedom in how deals are approached.
🔐 What About NDAs?
NDAs are normal.
I’ll sign NDAs when needed to review confidential data.
But I don’t combine NDAs with control clauses that restrict how I operate across the market.
💼 What Brokers Actually Experience Working With Me
Brokers who work with me don’t lose.
They gain:
Clear communication
Fast underwriting
Real feedback (not guessing)
Structured offers that actually close
No wasted time
🗣 Broker Feedback
“Jai is one of the few buyers who actually understands the numbers and responds quickly. No games, no fluff — just decisions.”
“He doesn’t need hand-holding. He knows what works and what doesn’t. That saves everyone time.”
“When he says he’s reviewing a deal, he actually comes back with a real answer.”
⚙️ How I Actually Work With Brokers
I don’t lock relationships.
I build them through performance.
If a deal makes sense:
I move
I structure it clean
I close
If it doesn’t:
I say it directly
no ghosting
no dragging timelines
🎯 The Bottom Line
I’m not the buyer for every deal.
But for the right deal, I’m the one that gets it done.
That’s why brokers continue to bring me opportunities — without needing exclusivity to do it.
🔚
Structure over sacrifice.
Stewardship over struggle.
Every deal builds legacy
